Full Document Review Skill for Contract Negotiation Agent

With this release, we continue to enhance the Contract Negotiation agent by transforming the contract review from a manual, reviewer-dependent task into an automated process that’s clear and predictable.
The Full Document Review skill uses AI to automatically flag risks, identify missing terms, and suggest redlines based on your organization's specific legal and business requirements.
For detailed step-by-step instructions, see Set Up AI Playbooks and Review Documents with AI Playbooks.
Business Benefits
  • Consistency
: Ensures negotiation standards are applied the same way every time across the organization.
  • Risk Prioritization
: Focuses reviewer attention on the most critical changes by providing a perspective on risk and severity levels.
  • Transparency
: Provides a clear rationale for every AI-suggested change, allowing reviewers to understand the why behind a finding.
  • Efficiency
: Reduces the time spent on boilerplate review so legal teams can focus on high-level judgment.
Changes
With the new Full Document Review skill we introduce:
  • Playbook configuration
  • Reusable AI instructions that you can use across multiple playbook configurations
  • AI Review for contracts
  • AI Editing capabilities that you can use to directly apply suggestions to the document
Admin experience
: We add 2 sub-tabs under the
Libraries
tab where administrators can configure
Playbooks
and
Negotiation Requirements
to define company-specific negotiation logic.
Reviewer workflow
: We add a new
AI Review
panel in the document editor within workflow tickets, allowing users to run analysis and receive AI-suggested redlines based on published Playbooks.
Security
:
  • We replace the existing
    Clause Library: View
    permission with a new
    Libraries: View
that provides read-only access to Playbooks, Negotiation Requirements, and Clause Library.
  • We replace the existing
    Clause Library: Manage
    permission with a new
    Libraries: Manage
that provides full create and edit access to Playbooks, Negotiation Requirements, and Clause Library.
  • We replace the existing
    AI Drafting Tools: Edit
    permission with a new
    AI Review & Editing: Access
that enables users to run AI Review in workflow tickets using any published Playbook.
Considerations
:
  • Editing sequence
: You must run AI Review before making manual edits in the in-app editor.
  • File compatibility
: AI Review is only available for DOCX files. You must convert PDF documents to DOCX before analysis.
  • Naming requirements
: Playbooks and Requirements each require a unique name, and you can’t reuse names from deleted items.
  • Tabulated Data & Placeholders
: AI Review flags instances where changes are required for tables or placeholder values (Example: [$AMOUNT]); however, you must manually update this content.
  • Version memory
: AI Review doesn’t currently retain memory of previously accepted suggestions across versions. Rerunning a review on a new version may surface repeat recommendations.
What Do I Need to Do?
  1. Configure roles
    : Assign the
    Libraries: Manage
    and
    AI Review & Editing: Access
permissions to the appropriate user roles.
  2. Create playbooks
    : You can choose to
    Start from an Example
(for NDAs, SLAs, or MSAs) or use
    Manual Configuration
. Note: Examples are only available in Sandbox accounts by request.
  3. Define Requirements
: Add instructions to your playbook to tell the AI what to evaluate, such as checking for required clauses or flagging specific risks.
  4. Publish the playbook
: Once the configuration is validated, change the state from Draft to Published to make it available for reviewers in workflow tickets.
For detailed step-by-step instructions, see Set Up AI Playbooks and Review Documents with AI Playbooks.
What Happens if I Do Nothing?
If you don’t configure this skill, contract reviews will remain a manual process within the document editor.

Microsoft Word Connector for Workday Contract Lifecycle Management

The Microsoft Word Connector enables users to launch contract documents from Workday Contract Lifecycle Management (CLM) directly into their local Microsoft Word desktop application for editing, and synchronize updates back to the CLM platform.
Business Benefits
  • Time savings
: Eliminates the manual steps of downloading, saving, and re-uploading documents, leading to faster contract cycles and increased efficiency.
  • Collaboration
: Enables multiple users to launch and edit documents simultaneously, supporting threaded comments and discussions between the desktop and the platform.
Changes
On the document viewer, we rename the
Edit Online
button to
Edit with Microsoft
and include a new
Microsoft Word for Desktop
option that enables users to open documents in the desktop version of Microsoft Word.
With the new connector, we enable
synchronization capabilities
such as:
  • Automatic sync for document content, including icons, tables, and images.
  • Support for native text highlighting applied in the desktop application.
  • Track Changes and Activity Log within CLM that capture modifications made during desktop sessions.
During Microsoft Word desktop editing sessions, we also deliver
version locking and force unlock capabilities
:
  • When a document is open in Microsoft Word using the Microsoft Word connector, Workday CLM enforces a lock that prevents users from uploading new versions, creating new versions from within the platform, deleting the current document version, or progressing to the next workflow stage. This prevents conflicting edits or version overwrites while a Word desktop session is in progress.
  • We also deliver a new unlock control on the document's workflow page. Users with edit rights for the current workflow stage can initiate a force unlock to terminate a session. Workday records every force unlock action in the document’s activity log.
Security and Permissions:
  • The integration inherits Workflow Visibility and Permissions from the CLM platform.
  • Users must have Edit permissions on the workflow to be able to access the
    Edit with Microsoft
    functionality.
  • To enable the integration, the connector requests these permissions:
    Type
    Permission / scope
    Purpose / note
    Delegated
    User.Read
    Sign-in and user identity
    Delegated
    FileStorageContainer.Selected
    User-selected SharePoint container
    Application
    FileStorageContainer.Selected
    App-level access to selected container
Considerations:
  • File formats
: The integration supports .doc and .docx formats. While PDF documents are not directly supported for editing, you can convert them within Contract Management and Document Intelligence before being opened in the Word desktop application.
  • Sync timing from the editor to CLM
: Document changes may experience a delay of 0 to 5 minutes.
  • Documents edited in the desktop application don’t appear in the
    Recently Edited
    list within
    Microsoft Word
. Users must return to Workday CLM to re-open the file.
What Do I Need to Do?
Administrators must set up Microsoft Word Connector. Follow the steps outlined in Set Up Microsoft Word Connector for Contract Lifecycle Management
What Happens if I Do Nothing?
If you don’t configure the integration, users can continue to use the native in-app editor or
Microsoft Word for the Web
. Alternatively, they can manually download documents from Workday CLM, edit them locally, and manually upload the revised versions to the platform.
