Standard AI fields and clauses are AI-powered data fields and clauses that populate when you upload a document. Contract Management and Document Intelligence includes many of these fields by default and prevents you from deleting or editing them.

Standard AI Data Fields
Standard AI data fields are pre-built AI models that autormatically extract and classify common contract data points.
Contract Management and Document Intelligence uses these fields to analyze documents:
- General Information (Default Section)NameDefinitionContract TypeContract Management and Document Intelligence identifies more than 240 contract types by default. - Automatic: No action is needed to extend the contract after expiration.
- Option to Renew: One party can renew if they want to continue with the agreement; otherwise, it expires.
- Manual: Renewal requires mutual consent, is explicitly forbidden, or is not mentioned.
Renewal TermThe length of a renewal, applicable when the renewal type is automatic or there's an option to renew.# of RenewalsThe number of renewals available when the renewal type is automatic or there's an option to renew.Upcoming Expiration DateFor a renewal, displays the next upcoming expiration date of the contract. The date is the last valid date of the contract's effective term. - Amount Paid: The liability cap is based on the total amount paid under the contract. Example: When the cap is defined asequal to the amount paid, and the customer pays $100,000, the liability cap is $100,000. When it’stwo times the amount paid, the cap is$200,000.

Standard AI Clauses
Contract Management and Document Intelligence uses these clauses to analyze documents:

Force Majeure | Establishes that the agreement will be suspended in the event of unforeseen disasters such as earthquakes, hurricanes, floods, or pandemics. |
Governing Law | The state (in the United States) or country (if outside the United States) whose laws govern the terms of the contract. |
Indemnification | Either or both parties agree to reimburse the other for losses incurred due to their actions or performance. |
Jurisdiction and Venue | Designates the location and governing body responsible for resolving legal disputes arising from or related to the agreement. |
Limitation of Liability | Limits the types of damages that may be awarded to either or both parties in a contract dispute. |
Non Compete | Clause under which 1 party agrees not to enter into or start a similar profession or trade in competition against another party. |
Non Solicitation | An employee agrees not to solicit a company's clients or customers, for their own benefit or for the benefit of a competitor, after leaving the company. |
Publicity | Prevents each party from issuing press releases, making any public announcements, or communicating with the media without the consent of the other party. |
Term | Defines the period during which the agreement is effective, unless terminated earlier according to its terms. |
Termination | Enables ending the agreement under circumstances specified in the clause. |
Termination for Breach | Defines how to provide notice and the termination process when 1 party believes the other party has breached the contract. |
Termination for Convenience | Enables the specified party to terminate the contract at its discretion for any reason or no reason at all. |
